  • Deliverables: Upon full payment, the specific custom code and configurations developed uniquely for your business ("Deliverables") will typically be licensed or transferred to you as defined in your specific Service Agreement.

  • Feedback: Any suggestions or feedback you provide regarding our Services may be used by us without compensation or credit to you.

3. AI-SPECIFIC PROVISIONS

  • Nature of AI: You acknowledge that AI agents and Large Language Models (LLMs) can produce unpredictable results. Citadel Engineering does not guarantee that AI outputs will be 100% accurate, error-free, or unbiased.

  • Third-Party Providers: Our Services often integrate with third-party platforms (e.g., OpenAI, Anthropic, Pinecone). Your use of these Services is subject to their respective Terms of Service and API policies.

  • Usage Responsibility: You are resxponsible for the final output generated by the AI agents we implement and for ensuring that such use complies with your industry's regulations.

4. FEES AND PAYMENT

  • Pricing: Service fees are determined on a project-by-project basis.

  • Payment Terms: Unless otherwise agreed, invoices are due within [30] days of issuance.

  • Late Payments: We reserve the right to suspend Services or access to deployed agents if payments are significantly overdue.

5. CONFIDENTIALITY

6. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Citadel Engineering shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising out of the use of our Services or the performance of AI agents.

Note: Our total liability for any claim arising under these Terms shall not exceed the total amount paid by you to Citadel Engineering during the [6] months preceding the claim.

7. INDEMNIFICATION

You agree to indemnify and hold harmless Citadel Engineering and its employees from any claims, damages, or expenses (including legal fees) arising from your use of the Services or your violation of these Terms.

8. TERMINATION

Either party may terminate the business relationship according to the terms specified in the signed Service Agreement. Upon termination, your right to use our proprietary tools may cease, and any outstanding fees become immediately due.
